These terms and conditions (the “Terms”) describe and stipulate the provisions which govern and regulate the legal relationship between you (“your”, “you”, as the case may be) and SHARP SINGAPORE ELECTRONICS CORPORATION PTE. LTD. (“SHARP”, “Us”, “We”, “our”, as the case may be).The Terms apply to your access, use and purchase of any Products on this website https://cocorolife.sg (the “Website”), whether on your computer, mobile device (such as smartphone or tablet computer or any other internet devices), or any other websites, devices or platforms.

1. Definitions
1. “Order” means an order for the purchase of Products submitted on the Website in accordance with Clause 6.
2. “Privacy Statement” means our privacy statement, available at https://sg.sharp/site_policy.
3. “Products” means products sold under the trademark “SHARP” and/or other trademarks owned or used by SHARP and listed as shopping items on the Website.
4. “Services” means the services provided by SHARP and available on the Website.
5. “Working Day” means a day, on which commercial banks in Singapore are open for business, excluding Saturdays, Sundays and gazetted public holidays.
2. Acceptance of the Terms
1. Please read carefully the Terms and our Privacy Statement before using the Website and our Services. By accessing the Website, continuing to browse and/or use the Website, and/or using the Services available through the Website, it is deemed that you have agreed to comply with and be bound by these Terms and Conditions and our Privacy Statement, and you acknowledge that you enter into a binding agreement with us and intend to be bound by the same for each instance of access or use of the Website and/or use of the Services. If you disagree with any part of the Terms, please do not use our Website or our Services.
3. Changes of the Terms
1. SHARP reserves the right, in our sole and absolute discretion, to change, modify, add, update or remove portions of the Terms from time to time without prior notice, and the updated version will be posted on the Website and date stamped so that you are aware of when the Terms was last updated. We encourage you to review this Webpage periodically to be informed of any changes to these Terms.
2. By continuing to access the Website or to use our Services after such changes to the Terms, you are deemed to have agreed to be bound by the revised Terms. If you do not agree to the revised Terms, you are to immediately stop using our Services and exit the Website.
3. You hereby acknowledge and agree that the revised Terms appearing in the Website will supersede any other terms appearing elsewhere or in any course of dealing between SHARP and you.
4 Registration data and User account
1. Unless otherwise specifically allowed by SHARP, you must first register and create an account (an “Account”) with the Website in order to use our Services. This will require you to provide information about yourself, including your personal information such as your name, address, telephone number and a valid email address (your “Personal Information”).
2. You must:
  1. be of legal age or above to be eligible to register for an Account;
  2. provide information that is accurate, current, complete and truthful;
  3. promptly update any change in your information in order to keep it accurate, current, complete and truthful.
  If you do not agree with disclosing any of the information required for registration, you are to stop proceeding further with the registration process.
3. Notwithstanding anything in the Terms, your registration is always subject to our absolute right to reject the same without providing any reason whatsoever.
5. Passwords and account security
1. In registering and creating an Account with us, you are also required to provide a User ID and password for your Account (collectively, your “Account Data”).
2. You shall be responsible and liable to keep your Account Data safe and secure at all times, and to prevent unauthorised access to your Account by third parties, or grant any other user or third party access to your Account.
3. We will use commercially reasonable endeavours to place appropriate security safeguards to protect your Account Data and/or Personal Information against unauthorized access or accidental loss to the extent required by law. We take the protection of your Account Data and/or Personal Information seriously but, unfortunately, the transmission of information via the internet may sometimes be compromised by unwanted elements leading to unintended disclosure. Although we will do our best to protect your Account Data and/or Personal Information, we cannot guarantee the security of your Account Data and/or Personal Information transmitted through the Website; any transmission is at your own risk. Accordingly, we recommend you take every precaution in protecting your Account Data and/or Personal Information when you are on the Internet. While we strive to protect your Account Data and/or Personal Information, we are unable to give an absolute assurance for the security of the information you transmit over the internet. Given the above, you acknowledge that we shall not be responsible or liable in any way for any loss or damage of any kind incurred as a result of, or in connection with the loss of your Account Data and/or Personal Information save that the same is due to our gross negligence or wilful default.
4. You may access your Account and change your password at any time.
6. Orders
1. Products may be purchased by submitting an Order on the Website.
2. Please carefully review the relevant Products before adding them to your shopping cart and proceeding with submission of the Order. By submitting an Order, you confirm that the details contained in the submitted Order are correct in all aspects and the submitted Order is an irrevocable offer from you to Us.
3. Notwithstanding the generality of the foregoing, you and SHARP may enter into an agreement for the sale and purchase of the Products by:
  1. you making an offer via the Website to purchase the Products at the price stated on the Website by way of:
    1. you submitting an Order for the Products via the Website;
    2. you confirming the Order details in accordance with the procedure on the Website; and
    3. you making payment of the applicable price in full (together with any applicable delivery and handling charges on the Website); and
  2. the acceptance of such offer (and thereby, the relevant Order) by SHARP.
4. For the purpose of entering into an agreement for the sale and purchase of the Products, you will be taken to have communicated your offer to purchase the Products only when:
  1. any and all requirements set out in the Terms have been met;
  2. the offer from you enters and is recorded in our database;
  3. SHARP receives in its account full payment from you for the Products (together with any applicable delivery and handling charges) and confirmation of such payment is received by us.
5. For the avoidance of doubt, conclusion of the agreement for sale and purchase of the Products is only effective after confirmation of acceptance of the Order by SHARP. We will confirm our acceptance of the Order by sending a confirmation email to your registered email address, and which confirmation shall be effective upon our sending of the same (the “Order Confirmation”). For the avoidance of doubt, notwithstanding any indication given by our system on the Website, the acceptance of an Order as at all times at the sole discretion of SHARP and subject to availability.
6. Notwithstanding the generality of the foregoing, SHARP reserve the right to refuse to accept your submitted Order or any part of your submitted Order, and/or limit the Product quantities ordered by you, without giving any reason. In the event that a Product is out of stock, you will receive notification of cancellation of your Order.
7. Depiction of Products and availability
1. The Website refers to Products and/or Services that are generally available for purchase in Singapore and may not be available in your particular country or locality. The reference to any such Products or Services on this Website does not imply or warrant that these Products or Services will be available at any time in your particular locality. You should therefore check with your local SHARP authorised representative for specific product/service availability in your locality.
2. Features and specifications of Products described or depicted on the Website may be subject to change at any time without notice. All non-metric weights and measurements are only an approximate. All monitor screens are measured diagonally; all monitor screen images, as well as all other images, contained on the Website are simulated pictures and for illustration purposes only, unless otherwise indicated.
3. SHARP reserve the right to change the Product range stated on the Website at any time and from time to time. Certain Product offers may have a restricted period of validity that will be indicated for each Product or Product range.
4. Products are available in limited stock and SHARP reserve the right to refuse to accept your Order in the event that your selected Product is unavailable.
5. In some cases, a Product that is shown as available on the Website may become unavailable after submission of the Order. In the event that one or several Products ordered becomes unavailable within the time period indicated, SHARP shall inform you of this as soon as practicable by email.
8. Price and Payment
1. Price of Products are shown in Singapore dollars and include Goods and Services Tax (“GST”) where applicable. Unless stated otherwise, prices do not include delivery and handling charges, which shall be charged separately (if applicable). Prices of Products are valid until amended or removed from the Website and are subject to change at any time at our sole and absolute discretion.
2. You shall pay for the Products in Singapore Dollars. and all payments must be made in full prior at the point of submission of Order, together with any applicable delivery or handling charges (if applicable).
3. Payment may be made by either Debit or Credit Card (VISA / MasterCard / AMEX) or such other forms of internet payment facilities as are made available on the Website.
4. You shall at all times be responsible for the safekeeping of particulars of your Debit and/or Credit cards and/or of your internet payment account and unless we are expressly informed otherwise you shall be deemed the authorised cardholder and/or payment account holder for the purposes of making payments for purchases made via the Website.
5. Any information provided by you for the purposes of making payments for online store purchases are to be treated in such a manner whereby you are the authorised cardholder and/or payment account holder.
6. In the event that you suspect unauthorised use of your Debit and/or Credit Card and/or your internet payment account, or any unauthorised payment made thereto, you shall be liable for contacting the issuing bank and/or the internet payment service provider. For the avoidance of doubt, SHARP shall have no obligation or liability whatsoever in the event of such unauthorised use or payment.
9. Delivery
1. At the point of submission of your Order, you will be prompted to indicate details of delivery, for the Order to be delivered to an address specified by you. Please note that delivery shall only be applicable to addresses in Singapore.
2. Products may not be available for immediate delivery. In this regard, SHARP shall use our reasonable endeavours to deliver the ordered Products to you as soon as practicable.
3. Notwithstanding the generality of the foregoing, dates (if any) quoted by SHARP for delivery of the Products are estimates only and shall not form part of the agreement for sale and purchase. In no event shall SHARP be liable for increased cost, loss of profits or goodwill or any other special, incidental direct or indirect or consequential damages due to late delivery or non-delivery of the Products.
4. Notwithstanding the generality of the foregoing, you hereby acknowledge and agree that SHARP may, and you hereby authorise SHARP to, (a) deliver your Order to the address specified by you at the point of submission of your Order; and (b) release your Order to any person accepting such delivery at the your said specified address, and delivery to such person shall be deemed delivery to you. If no one is available to accept delivery on the pre-arranged delivery date, you will be charged for storage, transport and re-delivery costs. In this regard, if you fail to accept delivery of the ordered Products within 30 days from the initial delivery date, the Order will be cancelled, Product will be discharged, and no refund will be made.
5. You will be required to inspect the Products upon acceptance of delivery. If:
  1. delivered Products are damaged or defective;
  2. the wrong Products were delivered,
  you shall notify SHARP within seven (7) Working Days of delivery by way of electronic mail at [email protected], otherwise the delivered Products shall be deemed to have been accepted by you as being in good condition and in accordance with the Order Confirmation, and to conform to the agreement for sale and purchase of the Products at the time of delivery. For further information, please refer to Clause [11.2] below.
10. Title, Risk of Loss or Damage
1. Title and risk of loss or damage to the Products shall pass to you on the physical delivery of the Products to the address identified by you in the Order.
11. Refunds, damaged or defective Products
1. Non-refundable
  Unless expressly provided for under the Terms or in law, once the Order Confirmation has been sent, all Products sold are non-refundable, non-returnable and non-exchangeable.
2. Products which do not conform to the terms of the agreement for sale and purchase (the “sale contract”); wrong Products delivered
  1. Products which do not conform to the sale contract or the Sales of Goods Act
    The provisions in the Consumer Protection (Fair Trading) Act shall apply to a Product which does not conform to the sale contract or the Sale of Goods Act.
  2. Wrong Products delivered
    1. If the wrong Products were delivered (i.e. the Products delivered are fundamentally different in nature from the Products specified in the Order Confirmation), we will replace them with the Products specified in the Order Confirmation. In this regard, we will contact you on the delivery time for the replacement Products, as well as the process to return the wrong Products.
    2. The general requirements for a replacement of wrong Products shall be as follows:
      1. the wrong Products must be returned in new condition and returned in original, unopened packaging along with all accessories (including but not limited to manuals), as well as any gift items received with it;
      2. sealed items must not be opened;
      3. the Products must not have been used or installed or have any data input.
  3. Notwithstanding the generality of the foregoing, SHARP will not provide you with a replacement and/or refund simply because you changed your mind or the Products were not what you expected.
  4. You shall inspect the Product delivered to you as soon as the same is delivered to you. If the Product delivered to you is damaged or defective, or the wrong Product was delivered to you, you must notify SHARP within seven (7) Working Days of delivery by way of electronic mail to [[email protected]]. If you fail to notify SHARP within the aforesaid period, the delivered Products shall be deemed to have been delivered and accepted by you as being in good condition and in accordance with the Order Confirmation, and to conform to the sale contract in all aspects at the time of delivery.
12. Trademarks, Copyright and Intellectual Property Rights
1. The Website is owned by SHARP. unless otherwise indicated, the trademarks, trade names, logos and service marks, domain names (known collectively as “Marks”) as well as all of the content (including but not limited to text, graphics, data, information, communications, software, images, illustrations, videos, sounds and the selection and arrangement thereof) (known collectively as “Contents”) contained on or available on the Website belongs to SHARP, its content providers and third party licensors.
2. You are not entitled or permitted to use, remove, obscure, conceal, modify or otherwise alter the Marks or the Contents or any part thereof.
3. The entire contents of the Website also are protected by copyright as a collective work under the Singapore Copyright Act (Cap. 63), trademark and all other applicable laws.
13. Hyperlinking
1. The Website may provide links to other web sites hosted by third parties (“Linked Sites”). Our provision of hyperlink to Linked Sites shall not be construed as an endorsement, verification, authorisation, sponsorship, or affiliation with respect to such Linked Sites, their owners, or their providers, and any use of or access to such Linked Sites is at your sole risk. SHARP (a) is under no obligation to monitor the content on the Linked Sites; (b) has no discretion to alter, update or control the content on the Linked Sites; (c) shall not be responsible or liable for any information and materials on such Linked Sites; and (d) shall not be liable for any loss, damages or injury arising from the access to and use of such Linked Sites. This Clause shall take effect to the fullest extent permitted by law.
2. The Linked Sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions which may differ from the provisions provided here and our Privacy Statement. In the event you are linked to any of these Linked Sites or visiting otherwise, please review their respective terms of use, privacy statements, notices and such other policies.
14. Privacy and protection of personal data
1. SHARP is committed to the protection of your personal data and information.
2. Please see our Privacy Statement to learn more about how SHARP protects and handles your personal data and information.
15. Resale
1. You agree and warrant that the purpose of purchasing the Products is not for resale but for your own individual or personal use only. SHARP shall be entitled to refuse to accept orders placed by you if you breach or SHARP suspects that you will breach this warranty based on reasonable grounds.
2. You shall not remove components from the Products for resale.
16. Export Restrictions
1. You hereby agree to comply with all applicable export laws, regulations and orders of Singapore, Japan and the United States of America, and such other jurisdiction (where applicable). Specifically, but without limitation, you agree that it will not re-export or ship, directly or indirectly, any Products or technical data in any form without first obtaining SHARP’s prior written consent and the appropriate export or re-export licenses from the Government of Singapore, the Government of Japan, the Government of the United States of America and/or the Government of such other jurisdiction (where applicable).
17. Force Majeure
1. SHARP is not liable or responsible for any failure to perform, or delay in performance caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labour difficulties, pandemics, equipment failures, or any other causes beyond SHARP’s reasonable control (each, a “Force Majeure Event”) of any of SHARP’s obligations under the Terms.
2. SHARP will use its reasonable efforts to bring the Force Majeure Event to a close or to find a solution by which SHARP’s obligations under the Terms may be performed despite the Force Majeure Event.
18. Warranties
1. You hereby expressly acknowledge and agree that the access or use of the Website, and/or use of the Services provided on or through the Website is at your sole risk and that the entire risk as to satisfactory quality, performance, accuracy and effort is with you.
2. SHARP shall assume no responsibility, and shall not be liable for, any damages to, or cyber-attacks and/or cyber-viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in the Website or your downloading of any materials, data, text, images, video, or audio from the Website.
3. Without prejudice to the foregoing and unless otherwise expressly stated in the Terms and to the maximum extent permitted by applicable law, SHARP and its suppliers, partners and/or licensors provide the Services on a best-effort, “as is” and “as available” basis only, and exclude all warranties and conditions of any kind whether express or implied. In particular but without limitation, SHARP and its suppliers, partners and/or licensors do not warrant or represent that:
  1. The Services are fit for any purpose or meet your requirements or are provided to you without any errors or deficiencies or that they are in compliance with any quality levels, as the case may be;
  2. The Services are available to you at any time and provided to you without disruption, interruption or delay;
  3. The Services do not violate any laws;
  4. Any information (whether oral or written) obtained by you from SHARP as a result of your use of the Services shall be suitable, accurate, complete and reliable;
  5. Any deficiencies in the services, including any defects in performance, operation or functionality of the services or any software provided to you as part of the services will be fixed, corrected or remedied.
19. Limitation of Liability
1. SHARP shall not be liable to you or any third party for any damage, loss or expense (including but not limited to direct, indirect, special, incidental, or consequential exemplary or punitive damages), or any economic loss (including but not limited to, loss of profits, loss of business, loss of opportunities, loss or goodwill, loss of savings or cost of cover) arising in any way from or in connection with the access to or use of or the inability to use the Website, and/or the information and materials contained in the Website, and/or the use or inability to use of any Products or Services sold or provided on or through the Website, or for any other claims related in any way to your use of the Services, even if SHARP, its officers, directors, employees, agents has been advised of the possibility of such damages, losses or expenses, and regardless or whether such damages, losses and/or expenses were within the contemplation (whether actual, subjective, objective, reasonable or otherwise) of SHARP, its officers, directors, employees, agents or yourself or such other third party.
2. In the event that the applicable law does not allow the limitation or exclusion of liability or damages, in no event shall SHARP’s total liability for any and all damages, losses, costs, claims and causes of action of any kind exceed the amount invoiced by SHARP for the relevant Products purchased by you on or through the Website.
3. Nothing in the Terms shall limit SHARP’s liability to you for death or personal injury arising from its negligence.
20. Indemnity
1. You shall fully indemnify and hold SHARP (and our affiliates, and our and their respective officers, directors, employees, agents) harmless from any claim or demand, including reasonable legal fees, made by himself/herself or any third party due to or arising out of his/her breach of the Terms, improper use of the Website or breach of any law or the rights of a third party arising out of, in connection with, or in relation to the access or use of the Website and/or use of the Services available on or through the Website.

Subject to our Privacy Statement, should you send any communications or materials to the Website by electronic mail or otherwise, including any data, questions, comments, suggestions, or the like, all such communications are, and will be treated as, non-confidential and non-proprietary. Anything you transmit or post may be used by SHARP or its affiliates for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast, and posting. Furthermore, please note that any ideas, concepts, know-how, or techniques contained in any communication you send to the Website for any purpose whatsoever, including, but not limited to, developing, manufacturing, and marketing products, SHARP is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the Site for any purpose whatsoever without providing any compensation to you.
3. SHARP shall assume no responsibility and shall not be liable for any unauthorised or unlawful interception or modification of any communication between you and SHARP (whether by electronic mail or otherwise), or for any loss or damage arising thereby (including but not limited to any loss or damage arising out of the unauthorised or fraudulent use of any information contained in or made accessible via such communication).
4. Although SHARP may from time to time review and monitor discussions, chats, postings, transmissions, bulletin boards and the like on the Website, SHARP is under no obligation to do so and assumes no responsibility or liability arising from the contents of any such communications nor for any error, defamation, libel, obscenity, profanity, or inaccuracy contained in any such communication. You are prohibited from posting or transmitting any unlawful, threatening, defamatory, libellous, obscene, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offence or give rise to civil liability, or otherwise violate any law. SHARP will fully cooperate with any law enforcement authorities or court order requesting or directing SHARP to disclose the identity of anyone posting such materials.
22. Severability
If any provision of the Terms or part thereof is rendered void, illegal or unenforceable by any legislation to which it is subject, it shall be rendered void, illegal or unenforceable to that extent and it shall in no way affect or prejudice the enforceability of the remainder of such provision or the other provisions of the Terms.
23. Transfer and assignment
If SHARP merges, sells or otherwise changes control of its business or this website to a third-party, SHARP reserves the right, without giving notice or seeking consent, to transfer or assign your Personal Information, content and rights that SHARP has collected from you and any agreements it has made with you.
24. Waiver
The failure by SHARP to exercise or enforce any right or provision under these terms will not constitute a waiver of such right or provision. Any waiver of any provision under these terms will only be effective if it is in writing and signed by SHARP.
25. Governing law & Arbitration
1. The Terms, your access of the Website and/or use of the Services available on or through the Website shall be governed by and construed in accordance with the laws of Singapore.
2. Any controversy, claim or dispute arising out of, in connection with or relating to the Terms (including any question regarding the Terms’ existence, validity or termination), your access of the Website and/or use of the Services available on or through the Website shall be referred to and finally resolved by arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (“SIAC”), which rules are deemed to be incorporated by reference in this Clause.
3. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be in English. Any award by the Tribunal shall be final and conclusive.
